Terms & Conditions

1. Agreement

By using our website or services, you agree to these Terms & Conditions. These terms apply to all services offered by Xnine Solutions, including web/app development, SaaS solutions, IT services, and digital marketing.

2. Payments

• All projects require advance or milestone-based payments (as agreed).
• Payments are non-refundable once work has started.

3. Project Timelines

• Delivery timelines will be shared before starting.
• Delays from the client (late content, feedback, or approvals) may affect timelines.

4. Revisions & Changes

• Limited revisions are included as per the proposal.
• Extra changes beyond the agreed scope will be charged separately.

5. Ownership & Intellectual Property

• All designs, software, and code remain the property of Xnine Solutions until full payment is received.
• For SaaS-based services, clients are provided usage rights only (no ownership of source code).
• If a client specifically requests the software source code, it will be provided only after a separate written agreement and additional payment based on project scope.
• Clients are strictly prohibited from reselling, redistributing, or sharing Xnine Solutions’ software or source code with any third party.
• Violation of this clause will result in immediate termination of services and legal action.
• After full payment, ownership of final deliverables (excluding SaaS source code unless otherwise agreed) will be transferred to the client.

6. Referral & Commission Policy

• If any client or individual refers our software/service to another customer, they will receive a 25% commission from the upfront charges once the deal is successfully closed.
• The referral commission will be processed only after payment is received from the new client.

7. Confidentiality

We maintain confidentiality of client information and expect the same from clients regarding our processes, strategies, and pricing.

8. Third-Party Services

Xnine Solutions is not responsible for issues caused by third-party hosting, plugins, APIs, or external services.

9. Limitation of Liability

We strive to provide the best services, but we are not liable for indirect losses, downtime, or damages caused by use of our services.

10. Termination

• Services may be terminated by either party with written notice.
• In case of breach (e.g., reselling software/code, misuse of services), Xnine Solutions may suspend/terminate services immediately without refund.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
